Charter Terms & Conditions

Standard terms governing cargo charter agreements with Astral Aviation Limited. Last updated: April 2026.

Important: These terms apply to all cargo charters operated by Astral Aviation Limited. By entering into a Charter Agreement, the Charter Party accepts these Terms and Conditions in full. For queries, contact our charter team at info@astral-aviation.com.

1. Definitions

In these Terms and Conditions: "Carrier" means Astral Aviation Limited, a company incorporated in Kenya (Registration No. CPR/2004/58977), operating under Air Operator Certificate issued by the Kenya Civil Aviation Authority. "Charter Party" means the person, company or organisation named as charterer in the Charter Agreement. "Charter Agreement" means the written agreement between the Carrier and the Charter Party specifying the details of the charter flight(s). "Cargo" means all goods, freight and property carried or to be carried under the Charter Agreement. "Flight" means each individual flight operated under the Charter Agreement.

2. Charter Agreement

2.1 A binding Charter Agreement is formed only upon the Carrier's written confirmation of the charter and the Charter Party's payment of the deposit specified in the quotation. Verbal agreements or email exchanges prior to written confirmation do not constitute a binding agreement. 2.2 The Charter Agreement is subject to aircraft and crew availability at the time of confirmation. The Carrier reserves the right to withdraw an offer of charter at any time prior to receipt of the deposit. 2.3 Any variation to the confirmed Charter Agreement (including changes to routing, dates, cargo type or aircraft type) must be agreed in writing by both parties and may be subject to additional charges.

3. Payment Terms

3.1 Unless otherwise agreed in writing, a non-refundable deposit of 50% of the total charter fee is payable within 24 hours of the Carrier's written confirmation to secure the booking. 3.2 The balance of the charter fee is payable no later than 72 hours prior to the scheduled departure time of the first flight. 3.3 For ad hoc charters requested with less than 72 hours notice, 100% of the charter fee is payable in advance of departure. 3.4 All payments are to be made in USD unless otherwise agreed. Bank transfer charges are for the account of the Charter Party.

4. Cancellation & Amendment

4.1 Cancellation by the Charter Party: The deposit is non-refundable in all circumstances. In addition, the following cancellation fees apply to the balance: cancellation more than 7 days prior to departure — no additional charge; cancellation 3–7 days prior to departure — 25% of the balance; cancellation 1–3 days prior to departure — 50% of the balance; cancellation less than 24 hours prior to departure — 100% of the total charter fee. 4.2 Cancellation by the Carrier: The Carrier reserves the right to cancel a charter flight for reasons of safety, crew availability, regulatory non-compliance by the Charter Party, or force majeure. In such cases, all sums paid by the Charter Party will be refunded in full. The Carrier's liability shall be limited to this refund only.

5. Cargo Acceptance

5.1 All cargo tendered for a charter flight must comply with the IATA Cargo Standards Regulations and all applicable national and international regulations governing the export, import and carriage by air of goods. 5.2 The Charter Party is responsible for the accurate declaration of all cargo, including weight, dimensions, commodity description, and any special handling requirements. 5.3 The Carrier reserves the right to refuse acceptance of any cargo that: is inadequately packaged; does not comply with IATA DGR requirements; has not been declared accurately; or would endanger the aircraft, crew or other cargo. 5.4 The Carrier's maximum payload capacity as stated in the Charter Agreement is based on standard conditions and may be reduced by factors including ambient temperature, altitude and route performance requirements.

6. Liability

6.1 The Carrier's liability for loss of or damage to cargo is governed by the Convention for the Unification of Certain Rules for International Carriage by Air (Montreal Convention 1999) where applicable, and by Kenyan law where the Montreal Convention does not apply. 6.2 The Carrier's liability shall not exceed the applicable limits under the Montreal Convention. The Charter Party should ensure appropriate cargo insurance is in place to cover any excess over these limits. 6.3 The Carrier shall not be liable for any loss, damage, delay or expense arising from force majeure, including but not limited to acts of God, war, terrorism, civil unrest, government action, strikes, or adverse weather conditions.

7. Insurance

7.1 The Carrier maintains Hull and Liability insurance as required by its Air Operator Certificate and applicable regulations. 7.2 The Charter Party is responsible for maintaining appropriate cargo insurance to cover the full declared value of all cargo carried under the Charter Agreement. 7.3 The Carrier does not accept liability as an insurer and the Charter Party should not rely on the Carrier's insurance as a substitute for its own cargo insurance arrangements.

8. Permits & Documentation

8.1 The Charter Party is responsible for obtaining all necessary import, export and transit permits, licences and documentation required for the cargo and any stops made during the charter flight. 8.2 The Carrier will assist in obtaining overflight and landing permits where required, but this service is provided without guarantee and associated costs are for the account of the Charter Party. 8.3 Any delays or additional costs arising from the Charter Party's failure to provide timely and accurate cargo documentation shall be for the Charter Party's account.

9. Governing Law

These Terms and Conditions and any Charter Agreement concluded hereunder shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any dispute arising out of or in connection with a Charter Agreement shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya, save where the Montreal Convention or other applicable international convention provides otherwise.
